Terms of Service

These Terms of Service ("Terms") govern your use of the CareBridge platform operated by [BCODE Technologies Limited (registration pending)], a Ghana-based entity affiliated with BCODE LLC (United States). By creating an account or using CareBridge, you agree to these Terms.
1. Agreement to Terms
In short: By using CareBridge, you agree to follow these rules. You must be at least 18 to use the platform (21 for caregivers).
By accessing or using CareBridge, you confirm that you are at least 18 years old (21 years old if registering as a caregiver), have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the platform.
2. The Service
In short: CareBridge is a marketplace that connects clients with caregivers. We are not a care provider and do not employ caregivers.
CareBridge is an online marketplace platform that connects individuals seeking care services ("Clients") with independent caregiving professionals ("Caregivers") in Ghana.
CareBridge does not:
- Employ caregivers. Caregivers are independent contractors who set their own rates, hours, and terms of service.
- Provide, supervise, or guarantee the quality of care delivered.
- Provide medical advice or medical services.
CareBridge facilitates the connection, booking, payment, and communication between Clients and Caregivers. The care agreement is between the Client and the Caregiver directly.
3. Account Registration
In short: Use real information, keep one account, protect your password.
- You must provide accurate, complete, and current information during registration.
- Each person may maintain only one account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately at management@bcodellc.com if you suspect unauthorised access to your account.
- You are responsible for all activity that occurs under your account.
4. User Responsibilities
In short: Clients should be honest and respectful. Caregivers should be professional and reliable.
Client Responsibilities
- Provide accurate booking information (dates, times, address, care needs).
- Treat caregivers with respect and dignity.
- Ensure a safe environment for the caregiver to work in.
- Pay for services through the platform (do not arrange off-platform payments).
- Leave honest reviews based on actual experience.
Caregiver Responsibilities
- Provide accurate credentials, qualifications, and experience information.
- Arrive on time for accepted bookings.
- Deliver care services honestly and to the best of your professional ability.
- Communicate promptly with clients about any issues.
- Accept payments only through the CareBridge platform.
- Maintain any professional certifications or licenses disclosed on your profile.
5. Bookings and Payments
In short: Clients pay upfront through Paystack. CareBridge takes a 10% commission. Caregivers receive payouts after service completion.
- Bookings are requests from Clients to Caregivers. A booking is confirmed when the Caregiver accepts it.
- Clients pay the full booking amount at time of booking. Payment is held in escrow by CareBridge until the service is completed.
- All payments are processed by Paystack, a licensed payment processor.
- CareBridge charges a platform commission of 10% of the booking value, deducted from the caregiver's payout.
- A payment processing fee of 1.95% (charged by Paystack) is added to the client's total at checkout.
- Caregivers receive their net payout (booking amount minus commission) after service completion, via their registered payout method (mobile money or bank transfer).
6. Cancellations and Refunds

7. Caregiver Verification
In short: We verify caregiver identity via Ghana Card. We do not independently verify medical licenses or professional competence.
- CareBridge verifies caregiver identity using government-issued identification (Ghana Card).
- Caregivers self-report their qualifications, certifications, and experience.
- CareBridge does not independently verify medical licenses, nursing certifications, or professional credentials.
- Clients are encouraged to request and verify any professional documentation directly from the caregiver before accepting care services.
- Verification status on a caregiver's profile indicates identity verification only, not endorsement of professional competence.
8. Medical Information Disclaimer
In short: Medical info about care recipients is user-provided and unverified. Clients must keep it accurate and have consent to share it.
- Medical information entered about care recipients (including conditions, medications, and allergies) is provided by the booking user and is not independently verified by CareBridge.
- Caregivers should use their professional judgment when interpreting this information. CareBridge is not liable for clinical decisions made based on user-provided medical information.
- Clients are responsible for keeping medical information accurate and up to date.
- Clients must obtain appropriate consent from care recipients (or their legal guardian) before sharing personal and medical details with caregivers through the platform.
- Care recipients who do not have a CareBridge account may request removal of their data by contacting management@bcodellc.com with proof of identity.
- In medical emergencies, call 112 (Ghana National Ambulance Service) or go directly to the nearest hospital. CareBridge is not an emergency service.
9. Prohibited Conduct
In short: Don't be dishonest, don't harass others, don't bypass the platform.
The following conduct is prohibited and may result in immediate account suspension or termination:
- Harassment, abuse, threats, or discrimination against any user.
- Fraud, misrepresentation of identity, qualifications, or experience.
- Soliciting or arranging payments outside the CareBridge platform to bypass fees.
- Providing care services while under the influence of drugs or alcohol.
- Sharing, selling, or transferring account credentials.
- Creating multiple accounts.
- Using the platform for any illegal activity.
- Submitting false reviews or manipulating ratings.
- Scraping, data mining, or automated access to the platform.
10. Dispute Resolution
In short: Try to resolve issues directly first, then contact support. Ghana courts in Accra have jurisdiction if legal action is needed.
- Direct resolution: We encourage Clients and Caregivers to attempt to resolve disputes directly through in-app messaging.
- CareBridge support: If direct resolution fails, either party may open a support ticket. Our team will review the dispute and issue a decision within 5 business days.
- Formal dispute: If you are unsatisfied with CareBridge's resolution, you may pursue the matter through the courts.
- Cooling-off period: Before initiating any legal proceedings, you must allow a mandatory 30-day cooling-off period during which the parties will attempt to resolve the matter informally.
11. Liability Limitations
In short: We connect clients with independent caregivers but are not responsible for the care itself. Our maximum liability is limited to what you've paid us in the past 12 months.
- CareBridge is not liable for any injury, damage, loss, or harm resulting from care services provided by Caregivers, who are independent contractors.
- CareBridge's total aggregate liability to you for any claims arising from your use of the platform shall not exceed the total amount you have paid to CareBridge in the 12 months preceding the claim.
- CareBridge is not liable for indirect, incidental, special, consequential, or punitive damages.
- We recommend that Caregivers obtain professional liability insurance appropriate to their scope of services.
- We recommend that Clients maintain appropriate homeowner's or renter's insurance.
In short: We can suspend accounts for violations, change our services, and update our fees with notice.
- CareBridge reserves the right to suspend or terminate any account that violates these Terms, with or without prior notice depending on the severity of the violation.
- CareBridge may modify, discontinue, or limit any aspect of the platform at any time.
- CareBridge may change its fee structure (commission percentage, processing fees) with at least 30 days written notice to affected users.
13. Intellectual Property
In short: CareBridge owns the platform. You own your content but give us permission to use it on the platform.
- The CareBridge name, logo, software, design, and all associated intellectual property are owned by [BCODE Technologies Limited (registration pending)].
- Users retain ownership of content they create and upload (photos, bios, reviews).
- By uploading content to CareBridge, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with operating the platform.
- This licence ends when you delete the content or close your account, except where the content has been shared with other users (e.g., reviews).
14. Indemnification
In short: If your actions on the platform cause legal problems for us, you agree to cover those costs.
You agree to indemnify, defend, and hold harmless [BCODE Technologies Limited (registration pending)], BCODE LLC, and their officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third party's rights.
15. Termination
In short: You can leave anytime. We can remove you for violations. Some obligations survive.
- You may close your account at any time by contacting support or using the account deletion option in your profile settings.
- CareBridge may terminate your account for violation of these Terms, with notice where practicable.
- Upon termination, you remain responsible for any outstanding payments.
- Sections relating to payments, indemnification, liability limitations, intellectual property, and governing law survive termination.
16. Governing Law
In short: Ghana law applies. Accra courts have jurisdiction.
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. The courts of Accra, Ghana shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the platform.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to you via email and in-app notification at least 30 days before they take effect. Your continued use of CareBridge after the effective date constitutes acceptance of the updated Terms.
